RESELLER RESPONSIBILITIES:
1. The reseller is an independent principal and not
in any way an employee, agent or representative of COLOR CLIMAX Corp.
and as such has no right to enter into agreements or
receive applications on behalf of COLOR CLIMAX Corp.
2. This agreement between the reseller and COLOR
CLIMAX Corp. is non-transferable.
3. The reseller owns or operates a lawful and otherwise
valid Internet website and is at least 18 years of age.
4. Use of the COLOR CLIMAX trademark, or any other
trademarks or material rights constituting property of COLOR CLIMAX
Corp., in any advertising, publication or document
of any kind must be displayed in a beneficial manner. COLOR CLIMAX
Corp. retains the unconditional right to order the
withdrawal of said material.
5. The reseller must use the hyperlink (URL) provided
upon acceptance of the application for all COLOR
CLIMAX banners photosets and text links on their site.
6. Any attempt to defraud the COLOR CLIMAX Partnership
Program will result in the termination of the reseller's
account and the forfeiture of any and all funds due, including
but not limited to the following:

a) If a referral account is created with false or misleading
information, the account will be terminated and ALL accrued funds will
be WITHHELD.
b) Broken banner images, falsification, bandwidth theft, any attempt at misleading
advertising, as well as using other sponsorship program's banners for linking
to the COLOR CLIMAX website are all a violation of this agreement.
c) Linking to a page that is not hosted on a COLOR CLIMAX
server is a violation of this agreement.
d) Unlawful activities such as unauthorized distribution or copying of copyrighted
photos, materials or software, violation of export restrictions, fraud, or other
practices which may be considered illegal, will result
in the termination of your account and ALL
accrued funds will be withheld.
e) The action of sending any referrals from any URLs which contain and/or promote
the following content, programs or linking practices is a violation of this agreement:
prostitution, child pornography, bestiality, warez, password selling or trading,
hacking, spam e-mails and newsgroup postings.
f) By removing the advertisment for the
COLOR CLIMAX Website and / or all promotional material,
this agreement will automatically expire with no further
funds being released. |

COLOR CLIMAX RESPONSIBILITIES:
1. COLOR CLIMAX reserves the right to deny any prospective
reseller admittance into our Partnership Program based on
the content of their website or for any other reason.
2. COLOR CLIMAX will not be held responsible for loss due
to downtime resulting from complications with equipment,
networks, or technical errors.
3. COLOR CLIMAX reserves the right to change the commission
rate with a 10-day email notice to the current email address
on file.
4. COLOR CLIMAX provides its services "as is" and
makes no warranties, either expressed or implied, with regard
to the performance of the link or the content of the COLOR
CLIMAX site; COLOR CLIMAX is not liable for any direct, indirect,
or incidental or consequential damages, including loss of
business, loss of profits and the like.
5. The reseller will be paid 50% of all inital sales, as
well as the corresponding renewals, for the life of that
membership. Actual revenue and check payments are determined
by the accounting/tracking software of our transaction processor
- PAYCOM. Upon acceptance, you will be issued a username
/ password to check the stats of your referred customers.
6. Reseller payment is made weekly by check via regular mail
on condition of a minimum balance owing of $25. Payment of
an outstanding balance less than $25 will be deferred until
the following month once again subject to this condition.
7. Credits, chargebacks and associated fees from customers
who have signed up through the reseller will be deducted
from the reseller's subsequent payments.
